EULA
End User License Agreement
Alex Lescieux / CHE-464.560.083
Definitions
This EULA constitutes a legally binding agreement between Alex Lescieux and you, the licensee (whether an individual or an organization acquiring the license or designated as the License Owner upon purchase). By purchasing, downloading, installing, or using the font software (referred to in this agreement as the “fonts”), you acknowledge that you have read, understood, and agreed to the terms outlined in this agreement.
This agreement defines the terms and conditions under which the font software is licensed to you by Alex Lescieux. As the licensee, you are granted a non-exclusive, non-transferable right to use the font software solely for the purposes specified in this agreement. This license does not transfer ownership of the font design or any other intellectual property rights associated with it. Any usage beyond the scope defined herein requires explicit authorization.
Principles
The licensing principles of Alex Lescieux are based on a core concept: the value of a typeface is tied to the size of the License Owner, measured by its total number of employees.
License fees are determined exclusively by the Company Size of the License Owner.
The License Owner is always the end client — the entity for whom the project is created and who ultimately benefits from the use of the typeface, whether such use is public, internal, confidential, temporary, permanent, or carried out through intermediaries, and regardless of the medium, scope, or visibility of the work.
Designers, agencies, and other third parties do not own the license. They may use trial versions to test, evaluate, or present the typefaces to their client. Once a font is selected for use, a license must be obtained in the name of the License Owner.
License Owner
The License Owner is the entity for which the fonts are used and which benefits from their use, including for its public image, branding, communications, publications, products, services, events, and internal activities.
The License Owner cannot be an internal department, division, project team, business unit, or similar subdivision of a larger organization.
Any agency, studio, freelancer, consultant, supplier, contributor, or external collaborator involved in a project is considered a third party and cannot be the License Owner.
The license always belongs to the License Owner, regardless of who purchases, installs, manages, or uses the fonts on its behalf.
Each License Owner must obtain its own license. A license purchased for or on behalf of one License Owner may not be shared with, transferred to, or used by another License Owner.
Licenses are non-transferable.
The License Owner is responsible for ensuring that all font use complies with this agreement, including the applicable license type and Company Size.
Company Size
We believe that larger organizations derive greater value from the same typefaces. For this reason, licensing fees are based on the size of the License Owner.
Company Size is determined by the total number of employees of the License Owner, including any parent companies, subsidiaries, and affiliated entities that form part of the same corporate group.
Internal departments, divisions, project teams, business units, or similar organizational units cannot be used to determine Company Size.
Company Size is the sole metric used to determine licensing fees. Information such as numbers of users, computers, installations, web traffic, app downloads, or similar metrics is irrelevant for licensing purposes.
The License Owner is responsible for confirming the accuracy of the selected employee tier. By completing a purchase, the License Owner declares that the selected tier accurately reflects its Company Size at the time of purchase.
Alex Lescieux reserves the right to request information reasonably necessary to verify the License Owner, Company Size, and compliance with this agreement. The License Owner agrees to provide accurate information upon reasonable request.
First Designer
The first designer, studio, or agency who uses the fonts to create work for the License Owner (the “First Designer”) is covered by the License Owner’s license. This permission does not grant any right to redistribute, share, or transfer the font files beyond this scope.
If the License Owner wishes to allow additional third parties to use the fonts at any time, they must purchase a Subcontractors Add-On.
Subcontractors Add-On
If the License Owner wishes to allow any third parties other than the First Designer — whether at the time of purchase or at any later stage — such as freelancers, agencies, external designers, developers, producers, printers, PR agencies, or any other service providers, to access or use the fonts on its behalf, the applicable license must include the Subcontractor Add-On.
If additional third parties become involved after the initial purchase and the applicable license does not include the Subcontractor Add-On, the License Owner must obtain an appropriate license that includes the Subcontractor Add-On before such third parties may access or use the fonts.
Any use of the fonts by third parties related to the License Owner — including uses initiated independently by such third parties — that exceeds the scope of the licensed rights will be considered as use by the License Owner. Such use requires the purchase of an appropriate license corresponding to such use, regardless of whether such use is temporary, internal, or subsequently discontinued.
Brands
Brand means a distinct commercial brand, trade name, product line, or visual identity under which the License Owner offers products or services. A License Owner may operate one or more Brands. Unless otherwise expressly agreed in writing, each additional Brand requires its own license for each applicable License Type.
License Types
We offer various licensing options to meet different font usage
needs:
Desktop
Allows use of the fonts to create printed and digital materials (documents, merchandise, signage, portfolios, etc.) for one Brand.
Social Media
Allows use on social media platforms (Instagram, Facebook, TikTok, etc.) for a single Brand. An additional video license is required for video content.
Logo & Wordmark
Allows use of the fonts to create a logo or wordmark for one Brand. Under this license, fonts may be converted to outlines and adapted for logo creation. A Desktop license is required for stationery. This license does not grant any exclusive right to the fonts or the underlying typeface design.
Video
Allows use of the fonts in animated content, such as films, clips, advertisements, streaming, etc., for a single Brand. An additional Social Media license is required for social media video content.
Website
Allows use of the fonts on a single controlled web domain and its associated subdomains, including production, staging, development, testing, and preview environments, using the @font-face CSS method, as well as in email newsletters. No traffic limitations apply. A separate Website license is required for each additional controlled web domain. Only webfont formats (WOFF, WOFF2) are covered under this license; desktop formats such as OTF or TTF may not be used for web deployment.
App & Game
Allows embedding of the fonts into one digital product (a mobile app, desktop app, or game). A separate license is required for each additional app or game. Regional variants and platform-specific versions (such as iOS and Android) are considered a single application.
Additional controlled web domains and applications may be licensed under a separate quotation, License Addendum, or custom agreement.
If you are working on a large-scale project, ensure that you purchase all necessary licenses.
Each license type must be selected in accordance with the actual use of the fonts and the size of the License Owner. If you exceed the scope of your current license, you must purchase the appropriate license(s).
If monitoring company growth and managing license upgrades is not desired, an Enterprise/Unlimited License may be preferred.
Large Organizations
If the License Owner is part of a larger corporate group or organization, we encourage you to get in touch.
We are happy to discuss tailored licensing solutions, including an Enterprise/Unlimited License and other custom licensing terms for large organizations, corporate groups, or projects with specific requirements.
If you are unsure which licensing solution is appropriate for your organization, please contact us.
Enterprise/Unlimited License
An Enterprise/Unlimited License typically includes all standard License Types (Desktop, Logo & Wordmark, Social Media, Website, App & Game, and Video), with no requirement for future Company Size upgrades.
Additional rights or extended coverage may be granted by agreement, including, for example, additional or future Brands, rebranding, and additional or future web domains and applications, or other specific requirements. Terms and pricing are determined on a case-by-case basis.
Trial Fonts
Trial fonts are intended for testing, evaluation, client presentations, and project proposals. They may not be used in final designs, published materials, or commercial projects without the appropriate license.
Our trial versions include the full character set, allowing you to properly test and present your work.
Once a typeface is selected for final use, the appropriate license must be purchased in the name of the License Owner.
Use of trial files is linked to the name and email address provided during the download process.
Payment
A designer or agency may make the payment on behalf of their client, but the license ownership always remains with the License Owner using the fonts for branding, communication, or any other licensed purpose. The License Owner’s name is required during the purchase process.
The License Owner is responsible for validating the selected license tier, regardless of whether the purchase is made directly or through a third party. The available employee tiers are presented at the time of purchase and must reflect the actual Company Size.
Upgrades
If the Company Size exceeds the highest employee tier available at the time of purchase, the License Owner must contact Alex Lescieux to obtain an appropriate license prior to any use. No rights are granted beyond the highest publicly available tier without prior written agreement.
If the Company Size of the License Owner, as defined at the time of purchase and reflected in the order or invoice, exceeds the employee tier initially covered by the license, or if usage extends beyond the original scope, the License Owner must obtain the appropriate license before continuing such use.
If you wish to upgrade from one or more styles to the full font family, please contact Alex Lescieux for further information.
Students
Students may use the available trial fonts for educational projects, self-initiated work, and student-led initiatives such as exhibitions, publications, portfolio projects, or promotional materials for student events, provided there is no commercial client.
Students may also publicly present and share such work through exhibitions, presentations, portfolio materials, websites, social media, and images of printed works.
If a project is created for a client, that client must obtain the appropriate license.
Any use beyond these conditions requires a full license.
Educational Institutions
Educational institutions wishing to use the fonts for institutional communications, publications, websites, events, or other activities beyond student projects are encouraged to contact us to discuss appropriate licensing options.
Educators are also welcome to contact us regarding classroom use or other educational licensing needs.
Non-profit Discount
We offer a discount to non-profit organizations, as well as cultural and educational institutions. If you qualify, you can purchase fonts at a special discounted rate of 25%. If you are unsure whether you qualify, please contact mail@alexlescieux.com.
Refunds
All sales are final. Fonts are non-returnable and non-refundable. If a font file is defective, please notify us by email within 30 days of purchase, and we will provide a suitable replacement. Refunds will not be issued for incorrect license purchases.
Rights
This contract governs all uses of fonts provided by Alex Lescieux. By using these fonts, you automatically agree to the terms outlined in this agreement. Once full payment of all applicable fees has been received and the License Owner, along with any involved Subcontractors, has agreed to comply with the terms of this contract, Alex Lescieux grants the License Owner a perpetual, worldwide, non-exclusive, non-transferable, and non-assignable license to use the fonts solely for the purposes specified in this agreement. The license may, however, be assigned to a successor entity in connection with a merger, acquisition, or sale of all or substantially all of the License Owner’s assets, provided that the successor entity continues to operate the Brand for which the license was originally granted.
The fonts will be delivered once the payment has been processed in full. Alex Lescieux retains full ownership of the fonts, as well as all intellectual property rights associated with them. The License Owner may use the fonts in accordance with this contract but does not own the fonts themselves. Any rights not explicitly granted in this agreement remain reserved by Alex Lescieux.
Restrictions
The following actions are prohibited in relation to the use of Alex Lescieux fonts: Modifying, decompiling, disassembling, or reverse-engineering the fonts. Creating new fonts based on the design of our fonts. Altering the font names in a way that violates others’ rights. Embedding the fonts in a manner that allows end users to download, extract, install or reuse them. Distributing the fonts without providing a copy of this agreement. Using the fonts, font software, font designs, glyph outlines, OpenType features, or any derivative thereof for the training, development, testing, evaluation, or improvement of any artificial intelligence or machine learning system. Uploading, submitting, sharing, distributing, or otherwise making the fonts available to any artificial intelligence platform, model, dataset, repository, service, or automated system for analysis, extraction, replication, generation, classification, synthesis, or creation of typefaces or typographic content. Uploading the fonts to public servers. Storing the fonts in public repositories.
Critical Uses
We care about how our typefaces are used. Any use of our fonts to promote hate, racism, or any form of discrimination is strictly prohibited. Political campaigns, electoral communications, lobbying activities, and similar activist or advocacy activities require prior written approval. Organizations or individuals who are unsure whether a particular use falls within this category are encouraged to contact us before use.
Taxes
The License Owner is responsible for any applicable taxes in their jurisdiction, including withholding taxes. Such taxes shall not be borne by Alex Lescieux and will not be deducted from any license fees.
Warranties & Liability
The fonts are provided on an “as-is” basis, without any warranties, whether express or implied, including but not limited to fitness for a particular purpose, merchantability, performance, or non-infringement. The License Owner represents and warrants that they have the right to enter into this agreement and guarantees that the use of the fonts will not cause harm, violate any law, or infringe upon the rights of any third party.
By entering into this agreement, the License Owner agrees to indemnify, defend, and hold harmless Alex Lescieux, along with any affiliates, partners, or licensees, from any loss, liability, damage, or expense (including reasonable legal fees) resulting from a breach of the License Owner’s obligations, representations, or warranties.
Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from this agreement. The total liability of Alex Lescieux will never exceed the amount paid by the License Owner for the license. While every effort has been made to ensure the fonts function correctly across a range of systems, perfect compatibility with all legacy or cutting-edge technologies cannot be guaranteed.
If modifications are required to ensure compatibility with a specific environment (including proprietary or legacy systems, or environments requiring unusual engineering), or for optimization in certain software such as Microsoft Office, such services may be subject to additional fees. If you encounter an issue, please contact Alex Lescieux.
In the event of a material breach of this agreement, all rights granted under this license shall terminate immediately unless otherwise provided in this agreement.
Upon termination, the License Owner shall immediately cease all use of the fonts. This includes, without limitation, removing the font software from all websites, applications, servers, and other systems on which it is installed or from which it is made available, permanently deleting all copies of the font software in its possession or control, and ceasing all further use of the fonts for any purpose.
Final Terms
This agreement constitutes the entire understanding between Alex Lescieux and the License Owner, superseding any prior agreements or discussions. Modifications to this contract are only valid if agreed to in writing by Alex Lescieux. The terms of a purchase order cannot alter or amend this agreement.
If the License Owner upgrades its license, this agreement supersedes and replaces the version previously accepted at the time of the initial purchase.
If any provision of this contract is deemed unenforceable, the remainder of the agreement shall remain in effect, and the unenforceable provision will be replaced with the closest enforceable equivalent. A waiver of any right or condition in this contract does not constitute a precedent for future waivers.
This agreement is governed by Swiss law, with exclusive jurisdiction in Switzerland. Any legal disputes will be handled in Switzerland. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this contract, nor do any conflict of law principles.
End of Agreement
By accepting this license, you agree to adhere to all terms outlined in this agreement. Thank you for reading the license agreement.
